Introduction
The Gaithersburg Germantown Upcounty Chamber is dedicated to empowering the business community in Gaithersburg, Germantown, Clarksburg, and Damascus through advocacy, collaboration, and resources that drive growth, foster connections, and strengthen our local economy.
Our vision is to cultivate a vibrant, resilient, inclusive, and innovative landscape that attracts new business and supports sustainable success. Central to that vision are our core values: collaboration, integrity, inclusivity, and innovation.
This Code of Conduct establishes the professional and ethical standards required of all Chamber members, board directors, staff, volunteers, contractors, and any other parties acting on behalf of or participating in Chamber-sponsored activities. Adherence to these standards is a mandatory condition of membership and prerequisite for participation in all Chamber programs, events, and initiatives.
Section 1: Professionalism & Business Integrity
All members are expected to conduct business with the highest level of honesty and transparency. Specifically, members shall:
- Conduct all business dealings with integrity in a civil and professional manner that reflects honorably on the Chamber.
- Ensure that all advertising and representations of services are truthful and accurate.
- Comply with all applicable federal, state, and local laws and regulations.
- Maintain all necessary professional licenses, permits, and insurance.
- Protect the confidentiality of proprietary information or personal data obtained through Chamber participation. Present accurate representation of goods, services, qualifications, or affiliations.
- Actively support and promote the mission and values of the Chamber.
- Refrain from any conduct that may injure the reputation of the Chamber or hamper it in its work.
Section 2: Respecting Our Community
The Chamber is committed to a welcoming environment where every individual is treated with dignity and respect. In all interactions, members shall:
- Treat all individuals with respect regardless of race, color, gender identity or expression, religion, age, disability, or sexual orientation.
- Prioritize collaboration over competition and refrain from public criticism or disparaging remarks about fellow members.
- Strictly adhere to the Chamber’s zero-tolerance policy regarding any harassment, illegal discrimination, threats, or violence.
- Uphold the Chamber’s commitment to diversity, equity, inclusion, and belonging.
Section 3: Conduct at Chamber Gatherings and Shared Spaces
Whether in-person or on digital platforms, all participants are expected to maintain a professional atmosphere.
- Attendees must refrain from disrespectful behavior or excessive solicitation that detracts from the experience of others.
- Participants must respect the roles of Chamber leadership, staff, and volunteers in maintaining the organization.
Section 4: Reporting and Enforcement
The Chamber maintains a fair, confidential, and timely process for resolving Code violations.
- Reporting: Any individual who witnesses a violation is encouraged to report it to the President/CEO, Board Chair, or Chair Elect. Reports must include the names of involved parties and a detailed description of the incident.
- No Self-Investigation: Individuals should not attempt to conduct their own investigations into suspected violations.
- Confidentiality: Information regarding the status and results of an investigation will only be disclosed to those with a legitimate “need to know.”
- Resolution: Where appropriate, parties will first be encouraged to attempt direct resolution through respectful communication. If direct resolution is inappropriate or unsuccessful, the matter may be escalated to the Board of Directors for a final determination.
- Formal Review: The President/CEO has primary responsibility for receiving and reviewing complaints involving members and the Board Chair. The Board Chair has primary responsibility for complaints involving the President/CEO or other Board Members.
Section 5: Disciplinary Actions
Violations of this Code may result in disciplinary action, including but not limited to:
- Formal written warnings.
- Temporary suspension of membership or event privileges.
- Permanent revocation of membership.
Decisions made by the President/CEO or Board are final. Reconsideration may only be requested if substantial new information arises within seven (7) calendar days of the decision.
Section 6: Acknowledgment & Annual Renewal
Acknowledgment of this Code is required upon joining and at each annual renewal. The Chamber reserves the right to deny participation to any individual or organization whose conduct violates these standards or casts a negative light on the organization. This Code is a living document and may be revised periodically by the Board of Directors. (The current document was approved by the Board of Directors on 05-21-2026.)
Acknowledgment & Agreement
By joining the Chamber or renewing my membership, I acknowledge that I have read, understand, and agree to abide by the Gaithersburg Germantown Upcounty Chamber Membership Code of Conduct. I understand that violation of this Code may result in disciplinary action, up to and including termination of membership.
